These terms govern your use of Halvard's advisory services. By engaging with us, you confirm that you have read and understood what is set out here.
Definitions
In these Terms and Conditions, the following terms carry the meanings set out below:
- "Halvard", "we", "us", or "our" refers to Halvard Advisory, operating at No. 8-3, Jalan Telawi 3, Bangsar Baru, 59100 Kuala Lumpur, Malaysia.
- "Client", "you", or "your" refers to any individual or entity that engages, enquires about, or accesses Halvard's services.
- "Services" refers to the advisory, consulting, and SME development offerings described on this website, including the Small Business Check-In, Owner's Roadmap Advisory, and SME Development Programme.
- "Agreement" means these Terms and Conditions together with any applicable service engagement letter or proposal accepted by both parties.
- "Content" refers to all documents, summaries, templates, playbooks, written notes, and materials produced by Halvard in connection with a service engagement.
- "Website" refers to the Halvard website accessible at https://{{DOMAIN}}.
Acceptance of Terms
By submitting an enquiry form, confirming a service engagement, or making payment, you indicate that you have read and agree to be bound by these Terms. If you do not agree, please do not proceed with any engagement.
- You must be at least 18 years of age and have the legal capacity to enter into a binding agreement.
- If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
- Continued use of any service after updates to these Terms constitutes acceptance of the revised version.
Service Description
Halvard provides business advisory and SME development services to small and medium enterprises in Malaysia. Our three service tiers are:
Small Business Check-In — RM 470
One advisory session covering day-to-day operations, followed by a short written summary note with suggested next steps. Suitable for owners seeking an outside perspective.
Owner's Roadmap Advisory — RM 1,980
Four structured sessions with a phased priority outline and working templates. Aimed at business owners planning their next stage of development.
SME Development Programme — RM 4,420
Ten sessions over several months covering operations, planning habits, and owner capability development, with playbooks and periodic reviews.
Services are delivered in Malaysia, primarily in or around Kuala Lumpur, and may be conducted in person or remotely as agreed. Halvard reserves the right to adjust scope or format with reasonable notice.
User Responsibilities
To allow an advisory engagement to proceed effectively, you agree to:
- Provide accurate and complete information about your business when requested.
- Attend scheduled sessions at the agreed time, or give at least 48 hours' notice to reschedule.
- Use any materials, templates, or documents provided solely for internal business purposes.
- Not reproduce, distribute, or resell advisory content without prior written consent from Halvard.
- Not use the website or services for any unlawful, misleading, or harmful purpose.
- Maintain the confidentiality of any login credentials or private links shared with you.
Intellectual Property
All original materials, frameworks, templates, methodologies, and written content produced by Halvard remain the intellectual property of Halvard unless otherwise agreed in writing.
- You are granted a limited, non-exclusive, non-transferable licence to use materials delivered to you solely for your own business operations.
- You may not share, resell, publish, or adapt Halvard's materials for commercial purposes without express written permission.
- This website, its design, copy, and structure are protected by applicable Malaysian intellectual property law.
- Any feedback or suggestions you provide may be used by Halvard to improve services without any obligation to you.
Payment Terms
Fees for services are as stated on this website and any engagement proposal issued to you. All prices are in Malaysian Ringgit (RM) and are inclusive of any applicable service tax unless stated otherwise.
- Payment is due prior to the commencement of the first session unless a different arrangement is set out in writing.
- For multi-session programmes, a payment schedule will be agreed at the time of engagement.
- Cancellation of a confirmed engagement within 24 hours of a session may result in that session being forfeited without refund.
- Where a client is unable to continue a programme due to circumstances beyond their control, Halvard will consider reasonable adjustments on a case-by-case basis.
- Halvard does not store or process payment card details directly. Any payment processing is handled by third-party providers subject to their own terms.
Engagement Terms
Each service engagement is governed by these Terms and any written proposal or scope document accepted by both parties.
- Sessions unused within the period set out in a service agreement may lapse unless a written extension is agreed.
- Changes to the scope of an engagement requested by the client may affect the overall fee. Halvard will communicate any fee implications in advance.
- Halvard may decline to take on or continue an engagement where a conflict of interest arises or where continued engagement would not serve the client's best interests.
- Sessions may be conducted in English or Bahasa Malaysia as agreed between the parties.
Disclaimers
Halvard's services are advisory in nature. The following points apply:
- Advisory observations and suggestions are provided for informational purposes and do not constitute legal, financial, accounting, or regulatory advice.
- Halvard does not warrant that any particular course of action suggested will produce a specific result. Business outcomes depend on many factors outside of Halvard's control.
- The website and its contents are provided on an "as available" basis without any warranties of completeness or accuracy.
- Halvard is not a licensed financial planner, legal practitioner, or medical professional and does not hold itself out as one.
Limitation of Liability
To the fullest extent permitted by Malaysian law:
- Halvard's total liability to you in connection with any service engagement shall not exceed the total fees paid by you for that specific engagement.
- Halvard is not liable for indirect, consequential, or incidental losses arising from the use of, or inability to use, any service or material provided.
- Halvard is not responsible for decisions you make based on advisory input. All final business decisions rest with you.
- Events beyond reasonable control — including natural disruptions, public health situations, or infrastructure failures — may affect service delivery without triggering liability.
Indemnification
You agree to hold Halvard harmless from any claims, losses, or expenses arising from your misuse of the services, your breach of these Terms, or your violation of any applicable law or third-party right. This includes reasonable legal costs incurred in defending against such claims.
Confidentiality
Both parties agree to keep confidential any sensitive information shared during an engagement:
- Halvard will not share your business information with third parties without your consent, except where required by law.
- You agree not to disclose Halvard's proprietary frameworks, methodologies, or unpublished advisory materials to third parties.
- Confidentiality obligations survive the end of any engagement and remain in place for a period of two years after the final session.
Termination
- Either party may end an engagement by giving seven days' written notice.
- Halvard may suspend or terminate services immediately if you breach these Terms or behave in a manner inconsistent with a professional advisory relationship.
- Upon termination, any fees due for sessions already delivered remain payable. Fees for sessions not yet delivered will be refunded on a pro-rata basis where appropriate.
- Clauses relating to intellectual property, confidentiality, limitation of liability, and dispute resolution continue to apply after termination.
Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a disagreement:
- The parties agree to first attempt to resolve any dispute informally by written communication within 21 days.
- If informal resolution is not reached, the parties may refer the matter to mediation under the Malaysian Mediation Centre before pursuing any formal proceedings.
- The courts of Malaysia, specifically the courts in Kuala Lumpur, shall have jurisdiction over any unresolved dispute.
- Nothing in this clause prevents either party from seeking urgent injunctive relief where necessary.
General Provisions
- Entire Agreement: These Terms, together with any accepted service proposal, represent the full agreement between the parties on the subject matter.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Halvard's failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
- Assignment: You may not transfer your rights or obligations under these Terms without Halvard's prior written consent.
- Notices: Formal notices should be sent in writing to the contact details provided on this website.
Changes to Terms
Halvard may revise these Terms from time to time to reflect changes in services, law, or operating practice. When changes are made:
- The updated Terms will be posted on this page with a new "Last Updated" date.
- For ongoing engagements, Halvard will notify you of material changes by email where practicable.
- Continuing to use our services after changes have been posted indicates your acceptance of the updated Terms.
